
General Sales and Delivery Terms and Conditions

1. Scope
These Terms apply to all sales of products and services by Atmas Group Oy (“Atmas”) to its customers (“Client”). Atmas may be the manufacturer, as well as act as a distributor, reseller, or representative of manufacturers. Unless otherwise agreed in writing, Atmas does not provide design, installation, commissioning, or integration services.
2. Quotations and Orders
• Quotations are valid for 14 days unless otherwise stated.
• An agreement is concluded when Atmas confirms Client’s order in writing.
• Orders for customized products or open-box items cannot be cancelled or returned.
3. Prices and Payment
• Prices are in EUR (€), exclusive of VAT unless stated otherwise.
• Payment terms: 100% prepayment unless agreed otherwise.
• Late payments accrue interest per Finnish Interest Act (633/1982) and collection costs.
• Atmas may suspend delivery until payment is received.
4. Delivery Terms
• Default delivery term: Ex Works (Incoterms 2020) Atmas’ warehouse unless agreed otherwise.
• Delivery times are indicative and subject to availability.
• Risk passes to Client when goods are made available at Atmas’ premises or as per agreed Incoterms.
• Transportation and insurance are Client’s responsibility unless otherwise agreed.
5. Warranty and Manufacturer Responsibility
• All products are delivered according to the Manufacturer’s specifications and policy, and all liability to that remain with the Manufacturer.
• All warranties and technical compliance are provided by the manufacturer under its warranty policy.
• Atmas will assist in forwarding warranty claims but assumes no responsibility for manufacturer decisions or performance.
• Atmas does not guarantee suitability for any specific purpose beyond manufacturer specifications.
6. Client Obligations
• Provide accurate specifications and information for the order.
• Inspect goods upon receipt and notify Atmas of visible defects within 14 days.
• Ensure proper installation, integration, and operation unless these services are explicitly included.
7. Liability
• Atmas’ liability is limited to the invoiced amount for the affected delivery.
• Atmas is not liable for indirect damages (loss of profit, production, etc.).
• No liability for defects caused by incorrect installation, misuse, or conditions beyond normal use.
8. Export Control and Force Majeure
• Client agrees not to re-export goods to sanctioned countries or entities listed by the EU, US, or other authorities.
• Delays or cancellations due to export/import control or force majeure events (e.g., natural disasters, war, government restrictions) are not Atmas’ responsibility.
9. Governing Law and Dispute Resolution
• These Terms are governed by Finnish law; CISG does not apply.
• Disputes shall be resolved by arbitration under the Arbitration Institute of the Finland Chamber of Commerce, seat Helsinki, language English or Finnish.
• Atmas may alternatively pursue payment claims in the District Court of Client’s domicile.
10. Ownership
Title remains with Atmas until full payment is received.
11. Confidentiality
Both parties shall keep confidential all commercial and technical information received during cooperation.
